Online Store Terms and Conditions

Welcome to Pentik Oy's ("Pentik") website and online store (collectively, the "online store"). In the online store, you can, among other things, explore Pentik's products, make product purchases, and subscribe to Pentik's newsletters.

1.) General

These are the general terms and conditions ("terms") for Pentik's online store for consumers ("user"). The terms also constitute the contractual terms between the user and Pentik regarding transactions in Pentik's online store. In addition, the terms define, among other things, restrictions on the use of materials published in the online store.

The user must carefully review the terms before using the online store. Use of the online store always requires adherence to and commitment to these terms. In addition to these terms, the user agrees to comply with all other supplementary service, section, material, or product-specific terms and restrictions that may be presented for acceptance separately in the online store. The currently valid supplementary terms are available in the online store.

Pentik grants the user a limited right to use and browse the online store and the material published therein solely for personal, non-commercial use. The use of press releases and other materials intended for public use for information dissemination is permitted only on the condition that the source of information is cited in the same context. The user must retain all markings indicating that the material is the copyrighted or otherwise protected property of Pentik or its partners unchanged in downloaded materials, their printouts, and copies.

The user does not have the right to modify the online store or its parts or the material published therein in any way, or to attach or transfer it to other material, including other electronic services, without Pentik's prior written consent. The user may not publicly display or otherwise publish, sell, distribute, transmit, or otherwise use the online store, its parts, the material published in the online store, or their reproductions for commercial purposes without Pentik's prior written consent. Adding external links to the online store is possible in accordance with these terms.

Pentik does not grant the user any rights other than those explicitly stated in these terms. Pentik has the right to revoke the granted usage rights for justified reasons, including actions contrary to these terms or supplementary terms, or based on outstanding payments.

2.) Online Store Transactions and Orders

Use of the Online Store

Anyone aged 18 or over can become a customer of the online store. A person residing outside Finland can also be a customer of the online store, provided that the delivery address for the order is in a country mentioned in the payment and delivery terms.

The user can register as a customer of the online store. Those registered as customers of the online store become members of the Pentik Club. Pentik Club newsletters provide information about products, online store benefits, offers, and new arrivals. However, it is also possible to order products from the online store without registration. The user must provide all mandatory information marked in the online store. Ordering products requires, among other things, a functional email address, as the user will receive an order reception and delivery confirmation for their order at the email address they provided when using the online store. The user is responsible for the accuracy and up-to-dateness of the information they provide. If the information changes, Pentik must be notified of the changes without delay.

When registering as a customer and placing orders, the user can provide a different delivery address and credit card billing address. The delivery address must be located in a country mentioned in the payment and delivery terms. The contact details for the delivery address must be accurate so that the order can be delivered. By providing a delivery address that differs from their own contact details, the user is responsible for ensuring that they have the permission of the person residing at the delivery address to provide that person's personal data to Pentik and for its processing in accordance with Pentik's privacy policies.

When registering as a customer, the user creates a username and password, which the user undertakes to keep confidential and not disclose to third parties. The user is responsible for all orders made with their credentials. The user agrees to notify Pentik immediately if they suspect that their credentials have been disclosed to unauthorized third parties. Pentik reserves the right to close access to credentials at any time if Pentik suspects that the credentials are being misused.

Ordering Products and Availability

Products are ordered by selecting the desired product and quantity from the online store's selection. The selected products are added to the shopping cart, from which the user can still remove products and change order quantities before confirming the order. The online store's technical systems automatically check the availability of products selected for the shopping cart every time the user visits the shopping cart page. Therefore, the availability of a product shown in the shopping cart may still change before payment. A binding order is created when the payment transaction has been approved. The user will receive an order confirmation by email. The user can also check their order details on the online store's orders page.

Prices

Prices are valid only in the online store. Special offers and campaigns are valid only when ordering from the online store, unless otherwise stated. Discount codes are campaign-specific. When placing an order, the discount code is entered in the designated field. The discount will be applied to the order total. Products are charged based on the price valid at the time of order. If the price decreases after the order, the difference will not be reimbursed. Product prices are valid indefinitely or for the time specifically stated in the product information. Pentik reserves the right to change product prices. Product prices include value-added tax. Product prices do not include delivery and handling fees, which are stated separately during the order process and in the order confirmation, and are also specified in the payment and delivery terms.

Order Confirmation and Product Availability

Once Pentik has received the user's order, a confirmation of order receipt and that order processing will begin will be sent to the email address provided by the user. Pentik has a wide selection of various products, and their production quantities and availability vary. The user accepts that Pentik cannot give any guarantees regarding the availability, sufficiency, or accuracy of information for products sold in the online store. Some of Pentik's products are seasonal products or otherwise unique products produced in limited quantities. Even Pentik's basic collection products may be temporarily out of stock, for example, due to production reasons. If, after receiving an order, it turns out that the ordered product is temporarily or permanently out of stock, Pentik undertakes to notify the user without delay using the contact information provided by the user. If one of the ordered products is out of stock and cannot be restocked or the product is temporarily out of stock such that it would only be available more than a month after the order date, Pentik will automatically refund the value of the product to the user via Paytrail. When the product delivery has commenced, Pentik will send the user a separate delivery confirmation by email.

Products are delivered according to the separate payment and delivery terms.

Changing and Cancelling Orders

Orders for products from the online store can be cancelled by notifying Pentik customer service within 14 days of receiving the product. However, fabric cut by the meter are custom-made products and do not have a right of cancellation. Cosmetic and food packaging must be in unopened original packaging or sealed shipping bag. The exercise of the right of cancellation requires that the returned product is unused and can be reasonably resold with its packaging.

The procedures for returning products and payments are detailed in the separate payment and delivery terms.

Product Inspection and Complaints

Upon receiving the delivery, the user must promptly examine and ensure that the delivered products are intact and otherwise free of defects. The user must also ensure that the delivery includes all ordered products.

If the user notices that the delivery or product is defective, the user must notify Pentik Customer Service (tel. 016 3722 272, e-mail: info@pentik.com) without delay after discovering the defect and no later than within 14 days. If a defect in the product is confirmed, Pentik primarily has the right to rectify the defect or deliver a defect-free product within a reasonable time.

Force Majeure

Pentik is not responsible for any delays or errors caused by factors beyond Pentik's control (force majeure). In the event of a delay, Pentik will fulfill its obligations as soon as possible in the given situation after contacting the user and confirming whether the user still wishes to proceed with the contract. Pentik is not responsible if the user's order or Pentik's order or delivery confirmation does not arrive due to a malfunctioning data network or communication connections.

3.) Copyright and other Intellectual Property Rights

The online store may publish text, images, sounds, audiovisual material, or other types of material. All material published in the online store, the visual appearance of the online store, and the online store as a whole are Pentik's property protected by copyright laws and agreements. In order for the use of the online store not to cause copyright infringements, the user is obliged to comply with applicable legislation when using the online store, as well as to comply with the restrictions related to the use of the online store and the material published therein, as described in these terms and separately in the online store. Material published in the online store may be quoted in accordance with copyright laws and agreements and other applicable regulations, in which case the user must always state the source and retain all markings related to copyright and other rights associated with the material.

The ownership and related intellectual property rights of the online store, such as copyrights, unregistered and registered trademark and design rights, domain names, patents, trade secrets, and database rights, belong to Pentik or its partners. The names of Pentik's own products are Pentik's trademarks. Other names and identifiers mentioned in the online store may be protected identifiers of their respective owners. Pentik does not grant the user any direct or indirect intellectual property rights. All rights reserved.

4.) User Commitments

Pentik aims to create added value for customers through its online store. The user understands Pentik's objectives and commits to using the online store appropriately and in accordance with the current terms and applicable laws and other regulations. The user indemnifies Pentik and its affiliated companies within the same group, as well as all their officers, directors, and representatives, from all liabilities arising from damages or harms that may result from the user's use of the online store.

In order for the online store to be available to all users without disruption, the user undertakes not to interrupt or disrupt, or attempt to interrupt or disrupt, the operation or functions of the online store or the ability of other users to use the online store. Such prohibited actions include, among others, the use of devices or programs capable of disrupting the operation or programmatic structure of the online store, the placement of viruses, time-bombs, or other harmful materials in the online store, or the excessive overloading of the online store's structures, for example, by sending mass or spam emails.

Should the user or Pentik incur liability for damages due to the user's actions, the user undertakes to minimize any actual and potential damages with all reasonable efforts.

The user may not impersonate another entity or the representative of another organization, nor otherwise provide false information about themselves or their relationship with any person or entity. The user also may not manipulate technical identifiers in a way that attempts to conceal the origin of content transmitted through the online store.

The user undertakes not to publish or transmit any unlawful, defamatory, obscene, or information or materials that infringe upon Pentik or third parties or their rights in the online store. To avoid committing copyright infringement, the user should not transmit any copyright-protected information or materials through the online store. Pentik or its affiliated companies within the same group are not responsible to third parties for the content, unlawfulness, or offensiveness of any information or materials sent by the user, or for any infringements of copyrights or other rights belonging to third parties caused by the user's use of the online store or the publication or transmission of the user's information and materials. Pentik reserves the right to remove any information or materials provided by the user from the online store at its sole discretion.

5.) Processing of Personal Data

Pentik processes personal data collected through the online store in accordance with the current personal data legislation. Personal data is processed for the purposes stated in Pentik's privacy policies and in the manner defined therein. We ask you to regularly review the currently valid privacy policies on the pentik.com website. The user accepts the privacy policies as part of these terms.

6.) Links to External Websites

The online store may contain links to websites maintained by others. The links do not indicate any relationship, rights, or obligations between Pentik and the linked website, the site administrator, or the material on the sites.

The user accesses external websites via links in the online store at their own risk. Pentik is not responsible for the content, reliability, data security, or damages incurred during the use of linked sites. Pentik advises the user to familiarize themselves with the linked site's own terms of use before starting to use it.

7.) External Links to the Online Store

External websites may include a link to the online store, provided that the online store opens in a new browser when the link is used, the linking does not create a false impression of the relationship between the linking party or its products and Pentik, and the linking does not adversely affect the reputation and trademarks of Pentik or its affiliated companies within the same group.

Pentik reserves the right to prohibit linking if, in Pentik's discretion, the link is not beneficial to Pentik or its reputation.

8.) Changes to the Online Store and Terms

Pentik has the right, at any time without prior notice, to make changes or corrections to the online store, its content, functions, services, programs, products, or prices. Pentik also has the right to discontinue the entire online store or certain parts, functions, or services of the online store, and the right to restrict the use of the online store, its parts, functions, or services without prior notice and without liability for compensation.

Pentik has the right, at its sole discretion, at any time without prior notice, to amend, supplement, or correct the terms. The amended terms will come into effect when Pentik has announced the changes to the terms in the online store. The terms become binding on the user when the user next uses the online store after the terms have been amended.

9.) Limitation of Liability

The online store is provided "as is". Pentik strives to maintain the online store, its functions, and services in the best possible way so that the user can use them without interruption. However, Pentik does not guarantee or take responsibility for the online store, its functions, and services operating on time, without errors, and without interruption.

Pentik does its best to ensure that the information and materials contained in the online store are accurate and error-free, but does not give any warranties or take responsibility for the accuracy, error-freeness, timeliness, usability, suitability for a particular purpose, or non-infringement of rights of the online store or the information or materials contained therein. The use of statements, advice, and information appearing in the online store is at the user's own risk. All content of the online store, including information and instructions, is provided "as is," without any warranty.

The user accepts that Pentik is not responsible for the security of data or materials sent or received by the user through the online store, or for data and materials not sent or received, and releases Pentik from all liability in connection therewith. Pentik also cannot guarantee that the online store, the web servers maintaining the online store, or electronic communications sent by Pentik do not contain viruses or other harmful components. Pentik strives to ensure that the online store or its use does not cause harm or damage to third parties. Pentik and the companies belonging to the same group at any given time are not liable for any damages or special damages arising from the use or inability to use the online store or its content, or from these terms (including, but not limited to, damages caused by loss of contract or business or interruption of business), regardless of whether the damages were immediate or indirect, direct or indirect, or whether the damages were based on liability for damages, contract, tort, negligence or other grounds, even if Pentik had been notified in advance of the possibility of such damages. The liability of Pentik and the companies belonging to the same group at any given time is in any case limited to the liability under the mandatory provisions of Finnish law.

10.) Applicable law and dispute resolution

These terms are governed by Finnish law. If a dispute arises between the parties concerning these terms or their application, the parties undertake to primarily seek to resolve such disputes through negotiations. If the dispute cannot be resolved through negotiations between the parties, the user may refer the matter to the Consumer Disputes Board (www.kuluttajariita.fi), whose decisions are in the nature of recommendations. Before referring the matter to the Consumer Disputes Board, the user must contact the consumer advisory services of the local register offices (www.kuluttajaneuvonta.fi). The user may also use the ODR platform to resolve disputes if desired: http://ec.europa.eu/odr. For this purpose, Pentik's email address mentioned in these terms should be contacted.  

The user has the right to bring an action in the District Court in Finland where the user has a domicile or permanent residence, or where Pentik has a domicile or where its administration is primarily conducted. The jurisdiction in other cases is provided for in the Code of Judicial Procedure. If there is no otherwise competent court in Finland for the matter, disputes will be heard in the Helsinki District Court.
